1. About Us
TE Marketing is a marketing services provider operating primarily in the United Kingdom. These Terms & Conditions govern all services provided by TE Marketing to clients.
“you”, “the client” By engaging our services, making payment, or using our website, you agree to these Terms & Conditions.
2. Services
We provide digital marketing services including, but not limited to:
Search Engine Optimisation (SEO)
Google Ads / PPC advertising
Meta (Facebook & Instagram) Ads
Website design and development
Marketing consultancy
Services may be provided as:
One-off projects
Monthly retainers
Performance-based or commission-based agreements (where agreed in writing)
3. Payments & Fees
3.1 One-Off Projects
One-off services (e.g. SEO work or website design) are charged as agreed before work begins.
Website design projects require a deposit before work commences.
Remaining balances must be paid as agreed.
3.2 Retainers
Monthly retainers (e.g. paid advertising management) are charged in advance.
The first month is always paid upfront.
Retainer fees are due on the agreed billing date each month.
3.3 Commission-Based Fees
Where commission is agreed (for example, on ad-driven sales), the commission structure will be clearly outlined and agreed in writing before work begins.
4. Renewals & Cancellations
Retainers operate on a monthly rolling basis.
Clients may cancel at any time provided notice is given at least 24 hours before the next payment is due.
If notice is not received in time, the next retainer payment remains payable.
We do not lock clients into long-term contracts unless explicitly agreed in writing.
We reserve the right to terminate services immediately for:
Non-payment
Abusive or unreasonable behaviour
Breach of these Terms
5. Results & Guarantees
We do not guarantee rankings, traffic, leads, or sales, as these are influenced by factors outside our control (including search engines, platforms, competition, and client actions).
We do not control Google, Meta, or any third-party platforms.
Refunds
Refunds are not guaranteed.
A refund may be issued only if specific results were explicitly agreed in writing and were not delivered, at our discretion.
No refunds are provided for:
Change of mind
Platform changes
Delays caused by the client
Partial months of retainers
6. Client Responsibilities
Clients agree to:
Provide accurate information, access, content, and approvals when required
Respond in a timely manner to requests necessary for delivery of services
Understand that delays in communication may delay results or delivery
We are not responsible for delays or underperformance caused by missing, incorrect, or late client input.
7. Website Design & Content
Website designs remain our intellectual property until full payment is received.
Upon full payment, ownership of the final website design transfers to the client, excluding third-party tools, plugins, or licensed assets.
We are not responsible for ongoing website issues once a project is completed unless a maintenance agreement is in place.
8. Limitation of Liability
To the fullest extent permitted by law:
Our total liability is limited to the fees paid by the client for the relevant service.
We are not liable for:
Loss of profits
Loss of business
Loss of data
Indirect or consequential losses
Nothing in these Terms limits liability for fraud or any liability that cannot be excluded under UK law.
9. Third-Party Platforms
We may work with third-party platforms (e.g. Google, Meta, hosting providers). We are not responsible for:
Platform outages
Policy changes
Account suspensions
Algorithm updates
Clients remain bound by the terms of those platforms.
10. Confidentiality
Both parties agree to keep confidential any sensitive or proprietary information shared during the course of the engagement, unless disclosure is required by law.
11. Changes to These Terms
We reserve the right to update these Terms & Conditions at any time. The latest version will always be available on our website.
12. Governing Law
These Terms & Conditions are governed by the laws of England and Wales, and any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
